Terms of Use

Echor Develops engineers custom web platforms and software systems. We build around transparent commercial terms: 100% client ownership upon final payment, zero proprietary builder lock-in, and clear contractual scopes.

1. Acceptance and Informational Scope

These Terms of Use govern your access to and use of echordevelops.com, operated by Echor Develops (“the studio,” “we,” or “our”) in New York, NY.

Content, case studies, architectural breakdowns, and preliminary pricing indicators presented on this website are for informational and scoping purposes only. Browsing this site or submitting an inquiry does not constitute a binding development contract. Binding project commitments are governed exclusively by a signed Statement of Work (SOW) or formal client agreement.

2. The 100% Client Ownership Guarantee

Our studio philosophy is built on absolute asset ownership for our clients:

  • Bespoke Deliverables: Upon receipt of full payment for an agreed project or milestone, the client retains 100% ownership of all custom codebase repositories, design files, bespoke visual assets, copy, and database schemas created specifically for that project.
  • Studio Frameworks & Boilerplate: Echor Develops retains ownership of its pre-existing core libraries, generic utility modules, deployment automation scripts, and general engineering methodologies used to assemble the platform. The client is granted a perpetual, non-exclusive, royalty-free, worldwide license to use, modify, and host such underlying components as part of their platform.

3. Direct Infrastructure Handover & Zero Lock-In

We do not hold client infrastructure hostage. All production domains, DNS records, cloud hosting accounts (e.g., Cloudflare), and third-party APIs are provisioned in the client’s name and under the client’s direct administrative billing. Echor Develops does not charge proprietary monthly builder rent or retain administrative veto power over client domains.

4. Statements of Work and Scope Discipline

Every custom project is executed under a detailed, written Statement of Work defining the deliverables, milestone schedules, fixed pricing, and acceptance criteria. Any requested work falling outside the agreed scope is evaluated, priced, and approved in writing via a mutual change order before engineering begins.

5. Third-Party Platforms and APIs

Client platforms may integrate third-party services, APIs, payment processors, or cloud infrastructure (such as Cloudflare, Stripe, Resend, or Google Cloud). These services operate under their own terms of service and billing policies. Echor Develops is not responsible for outages, service terminations, fee modifications, or policy changes initiated by third-party providers.

6. Warranties and Limitation of Liability

Echor Develops delivers software engineered with rigorous commercial craftsmanship, adhering to modern web standards, security protocols, and performance metrics. Deliverables are tested prior to launch handover.

To the maximum extent permitted by applicable law, neither party shall be liable for any indirect, incidental, punitive, or consequential damages (including loss of business, revenue, or data) arising out of or related to our services or website. In all cases, our total cumulative liability arising from any project shall not exceed the total fees paid by the client under the specific Statement of Work giving rise to the claim.

7. Governing Law and Jurisdiction

These Terms of Use and any separate project agreements entered into with Echor Develops shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-law principles. Any legal proceeding arising out of or relating to these terms shall be brought exclusively in the state or federal courts located in New York, NY.
